Terms of sale and licence
These terms apply when a business buys or uses a WireFlow licence. In short: you pay monthly or yearly, you can cancel any time, your data stays yours, and we look after the software.
1. Who we are and who these terms are for
WireFlow is sold by [legal name of the business], of [registered or trading address] ("we", "us"). You can contact us at hello@wireflow.uk.
WireFlow is for businesses. By buying or installing it you confirm you're acting for a business, not as a consumer. "You" means that business.
2. Your licence
- A licence lets you install and use one copy of WireFlow, at one web address, for your own business.
- Each plan has limits on active users, billing companies and email senders, shown on our pricing page and in WireFlow under Settings, Licence. Solo includes 1 user, Team 5 and Business 15. Extra users can be added on Team and Business.
- Some features are only on some plans; the pricing page says which.
- You may not resell, sublicense or share WireFlow with other businesses, remove or work around the licence checks, or copy the software except to install and back up your own copy.
- We own WireFlow and all rights in it. Buying a licence gives you the right to use it under these terms, not ownership of the software.
3. Free trial
A new install runs free for 14 days without a licence key. When the trial ends WireFlow becomes read-only until a key is entered. Nothing you've entered is deleted.
4. Paying
- You pay in advance, monthly or yearly, by card through our payment provider, Stripe. We never see or store your card number.
- Your plan renews automatically at the end of each period and your card is charged, until you cancel.
- Prices are shown on the pricing page and at checkout. [Say whether prices include VAT, and give the VAT number if registered.]
- We may change our prices. We'll email you at least 30 days before a change affects you, and it applies from your next renewal. A discount agreed when you bought (such as a founding member price) continues for as long as your subscription runs without a break.
- If a payment fails, our payment provider tries again. If the licence isn't paid, WireFlow shows a reminder for a 14-day grace period after the paid-until date, then becomes read-only until it's paid. You can still see and export everything while it's read-only.
5. Cancelling
- You can cancel at any time from your account page (the link is in your licence email), or by emailing us.
- When you cancel, the licence runs to the end of the period you've paid for. We don't refund part periods, except where the law says we must.
- After that, WireFlow becomes read-only on your server. Your data stays in your own database: you can download it at any time.
- We may end your licence if you seriously or repeatedly break these terms, or don't pay. We'll tell you why by email first, and give you a reasonable chance to put it right where that's possible.
6. Your hosting and installation
- WireFlow runs on web hosting or a server that you provide and control. You're responsible for that hosting: keeping it paid, secure and up to date, its own backups, and the security of the passwords to it and to WireFlow.
- The minimum requirements are listed in our install guide. We'll help you install and set up WireFlow as part of your plan, but we can't be responsible for hosting we don't control.
7. Updates, monitoring and support
- Your plan includes updates. They appear on WireFlow's System page and install in one click, taking a backup first. If you leave "Let WireFlow install updates we push" switched on, we may install important updates for you.
- Each hour WireFlow sends us a short health report (for example its version, web address, disk space and error counts) and receives an up-to-date licence. The report doesn't contain your customers' details. This is how we spot problems and keep the licence working.
- Support is by email, and by phone where we've agreed it. We aim to reply within one working day, but we don't promise fixed response or repair times.
8. Your data
- Everything you put into WireFlow (your customers, jobs, quotes, invoices and so on) belongs to you and stays in your own database. You decide what goes in and you're responsible for having the right to use it, including under data protection law.
- If off-site copies are switched on, an encrypted copy of each night's backup is sent to us so we can help you restore it. For that, and when we help you with support, we handle your data only on your instructions, as set out in our data processing terms, which form part of these terms.
- How we handle the details you give us about your business and the people who use WireFlow is explained in our privacy notice.
9. Our responsibility to you
- We'll provide WireFlow and our support with reasonable care and skill. We don't promise WireFlow will be free of every fault or available without interruption, especially as it runs on hosting we don't control.
- WireFlow helps you produce quotes, invoices and VAT figures, but it isn't accounting, tax or legal advice. Check what you send and file.
- WireFlow helps you fill in electrical certificates. Its checks on readings and its AI suggestions are aids, not a substitute for your own inspection, testing and judgement: whoever signs a certificate is responsible for what it says.
- We're not responsible for loss of profit, business, revenue or goodwill, or for indirect or consequential loss.
- Our total responsibility to you for anything arising from these terms or WireFlow in any 12 months is limited to the amount you paid us in those 12 months.
- Nothing in these terms limits responsibility for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
10. General
- We may update these terms. We'll email you at least 30 days before a change that affects you materially; if you don't agree, you can cancel before it applies.
- You can't transfer your licence to someone else without our agreement. We may transfer our rights and duties to another business that takes over WireFlow, and we'll tell you if we do.
- If any part of these terms can't be enforced, the rest still applies. If we don't enforce a term straight away, we can still do so later.
- These terms are governed by the law of England and Wales, and its courts deal with any dispute. Please talk to us first: most things can be sorted by email.
